Terms of Service

These Terms of Service ("Terms") govern your access to and use of SubTrack ("Service"), operated by SubTrack ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

SubTrack provides software for general contractors to manage subcontractor compliance, including document storage, expiry tracking, and automated reminders. We do not provide legal, insurance, or compliance advice.

2. Accounts

You must provide accurate information when creating an account and are responsible for keeping your credentials secure. You are responsible for all activity under your account.

3. Subscriptions and billing

• Paid plans are billed monthly in advance via Stripe.
• Your subscription renews automatically until cancelled.
• You can cancel at any time from your billing portal; access continues through the end of the paid period.
• Prices may change with at least 30 days' notice.

4. Free trial

New accounts receive a 14-day free trial. No payment is required to start a trial. At the end of the trial you must choose a paid plan to continue using the Service.

5. Acceptable use

You agree not to:

• Upload unlawful, infringing, or malicious content;
• Attempt to disrupt or reverse engineer the Service;
• Use the Service to send unsolicited communications;
• Share account credentials outside your organisation.

6. Your content

You retain ownership of all documents and data you upload. You grant us a limited licence to host, process, and display that content as needed to operate the Service.

7. Confidentiality and security

We apply industry-standard technical and organisational measures to protect your data, including encryption in transit, row-level access controls, and least-privilege access for our staff.

8. Service availability

We aim for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance and may modify or discontinue features with reasonable notice.

9. Termination

You may terminate your account at any time. We may suspend or terminate accounts that breach these Terms. Upon termination, you may export your data for up to 30 days.

10. Disclaimers

The Service is provided "as is" without warranties of any kind. We do not warrant that the Service will meet your specific requirements or that document tracking will prevent compliance failures — you remain responsible for verifying subcontractor compliance.

11. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which SubTrack is established. Disputes will be resolved in the competent courts of that jurisdiction.

13. Changes

We may update these Terms from time to time. Material changes will be notified by email or in-app at least 14 days before they take effect.
